Reseller Agreement

The terms that apply when you resell Overseas Host hosting, domains, email and SSL services under your own brand.

1. The agreement

This Reseller Agreement (“Agreement”) is entered into between Overseas Host (“we”, “us”, “the Company”) and the individual or entity opening a reseller account (“Reseller”, “you”). By activating a reseller plan you confirm that you have read, understood and accepted these terms together with our Terms of Service, Acceptable Use Policy and Cancellation & Refund Policy.

The Reseller operates as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, franchise or employment relationship between the parties.

2. Eligibility and account setup

To open and keep a reseller account you must:

  • Be at least 18 years old and legally able to enter into contracts.
  • Provide accurate, complete and current contact and billing information at all times.
  • Keep account credentials confidential and remain responsible for all activity under the account.
  • Comply with all applicable laws in your jurisdiction and in the jurisdiction of your end users.

We may decline or close a reseller application at our discretion, including where information supplied cannot be verified.

3. Scope of the reseller service

Resellers may package and sell Overseas Host services — shared hosting, business email, domain registration, SSL certificates and dedicated servers — to their own clients under their own brand and pricing.

  • You set your own retail prices; we invoice you at your reseller rate only.
  • Resource limits (disk, bandwidth, accounts) are those stated on your plan and apply across all end users.
  • Sub-reselling of a reseller account to another reseller requires our prior written approval.

4. Reseller responsibilities

The Reseller is the primary point of contact for its own clients. You are solely responsible for first-line support, billing, refunds and dispute resolution with your end users.

Publish your own terms of service, privacy policy and refund policy to your clients.
Ensure end users comply with our Acceptable Use Policy — you remain liable for their conduct.
Do not represent yourself as an employee, agent or office of Overseas Host.
Do not make performance, uptime or feature promises beyond what your plan actually provides.

5. Our obligations

Overseas Host will:

  • Provide the infrastructure, control panel and provisioning tools described on your plan.
  • Maintain the network and hardware and apply security patches to platform-level software.
  • Offer second-line technical support to the Reseller (not directly to your end users, unless agreed).
  • Give reasonable advance notice of planned maintenance that may affect service.

6. Fees, billing and renewals

Reseller fees are billed in advance for the selected term. Invoices are due on the date of issue; services may be suspended if payment is not received within seven (7) days of the due date and may be terminated with data deletion after thirty (30) days of non-payment.

  • Domain registrations, renewals and transfers are non-refundable once submitted to the registry.
  • Your obligation to pay us is independent of whether your end users have paid you.
  • We may revise reseller pricing with at least thirty (30) days’ notice, effective from your next renewal.

7. Acceptable use and prohibited content

Reseller accounts and any end-user account hosted under them must not be used for:

  • Spam, bulk unsolicited email, or any activity harming mail deliverability.
  • Malware distribution, phishing, carding, hacking tools or fraudulent services.
  • Copyright or trademark infringement, pirated software, or illegal streaming.
  • Content that is unlawful, defamatory, or sexually exploitative of minors.
  • Crypto mining, torrent trackers or processes that abuse shared server resources.

Violations may result in immediate suspension of the offending account or the entire reseller account without refund.

8. Branding and intellectual property

All Overseas Host trademarks, logos, software and documentation remain our property. You receive a limited, non-exclusive, revocable licence to reference our services for the purpose of reselling them. You may not register domains, trademarks or social accounts that are confusingly similar to our brand.

9. Warranties, liability and indemnity

Services are provided “as is”. To the maximum extent permitted by law, our total liability arising from this Agreement is limited to the fees you paid us for the affected service in the three (3) months preceding the claim. We are not liable for indirect losses, lost profits, or loss of data.

You agree to indemnify and hold OverseasHost harmless against claims, damages and legal costs arising from your services, your marketing statements or the acts and omissions of your end users.

10. Suspension, termination and data

Services are provided “as is”. To the maximum extent permitted by law, our total liability arising from this Agreement is limited to the fees you paid us for the affected service in the three (3) months preceding the claim. We are not liable for indirect losses, lost profits, or loss of data.

You agree to indemnify and hold Overseas Host harmless against claims, damages and legal costs arising from your services, your marketing statements or the acts and omissions of your end users.

11. Changes to this Agreement

We may update this Agreement to reflect changes in law, technology or our services. Material changes will be announced by email or in the client area. Continued use of a reseller account after the effective date constitutes acceptance of the revised terms.
